Payment Terms
These Payment Terms apply to B2B RFQs, purchases, and orders placed with U.H. Kitchen (Yu Sheng E-Commerce Co., Ltd.).
The applicable payment method, payment schedule, due dates, transaction currency, and other conditions will depend on the order value, products, customization requirements, lead time, and the terms agreed between the parties. These details will be stated in the quotation, Proforma Invoice (PI), order confirmation, or other written transaction document.
If an individual quotation, PI, or written agreement differs from the general information on this page, the mutually confirmed transaction document will prevail.
1. Accepted Payment Methods
B2B orders are generally paid by bank transfer / telegraphic transfer (T/T).
Other payment methods may be made available where specifically agreed for an individual transaction or market.
The applicable payment method will be stated in the quotation or PI.
Payments should not be sent to personal accounts, third-party accounts, or any payment destination that is not included in our confirmed payment instructions.
2. Payment Schedule
Different orders may use different payment structures, including:
The actual deposit percentage, balance percentage, and payment timing are determined by the quotation or PI for the relevant order.
General information on this website does not mean that the same payment schedule applies to every transaction.
3. Deposits
Where a deposit is required, the order will generally enter the formal stock allocation, production, sourcing, customization, or other processing stage after we confirm receipt of the agreed deposit.
Until payment has been confirmed:
If payment is delayed, previously quoted stock availability, pricing, lead time, or shipment arrangements may need to be reconfirmed.
4. Balance Payments
Where an order uses a deposit-and-balance arrangement, the balance payment deadline will be stated in the quotation, PI, or other order document.
Unless otherwise agreed in writing, any balance due before shipment must be paid before final shipment arrangements are completed.
If the balance has not been received or cannot yet be confirmed, we may suspend:

5. Payment Confirmation
Initiating a bank transfer does not mean that the payment has immediately been received.
Payment is considered completed when the funds have actually been received and can be verified by us.
After making payment, buyers are encouraged to provide:

6. Transaction Currency
The transaction currency will be stated in the quotation or PI, such as USD, TWD, or another currency agreed between the parties.
The buyer should make payment in the currency and amount stated in the applicable document.
If the buyer sends payment in another currency, any resulting:
will generally be borne by the buyer unless otherwise agreed in writing.
7. Bank and Intermediary Bank Charges
Unless otherwise stated in the quotation or PI, the buyer should ensure that the amount actually received by us is equal to the amount due.

If deductions result in a shortfall in the amount received, we may require the buyer to pay the difference before the payment is considered complete.
Where a specific order uses a different arrangement for bank charges, the PI or written agreement will prevail.
8. Quotation Validity
A quotation may have a stated validity period.
If an order has not been confirmed or the required payment has not been made before the quotation expires, we may reconfirm the price and transaction terms based on current conditions, including:
An expired quotation does not obligate us to accept an order at the previous price.
9. Late Payment
If the buyer does not complete payment by the agreed deadline, we may:
If delayed payment results in storage, rescheduling, rebooking, or other third-party charges, such costs may be borne by the buyer.
If a different payment arrangement is required, the buyer should contact us before the due date and obtain written confirmation.
10. Order Cancellation and Amounts Already Paid
Whether a paid order may be cancelled and how amounts already paid will be handled depends on factors including:
Orders that have entered production, sourcing, customization, or another irreversible stage may not be eligible for a full refund of deposits or other amounts already paid.

11. Refunds
Where both parties agree that a refund is required, the refund amount, payment method, and receiving account will be confirmed on a case-by-case basis.
Refunds will generally be made to the original payment account or another account confirmed in writing by both parties.
For international payments, actual bank, intermediary bank, payment service, or foreign-exchange charges will be allocated according to the reason for the refund and the responsibility of the parties.
Refund processing time is subject to our Returns, Refunds & Claims Policy and the confirmed resolution of the individual case.

13. Bank Account Changes and Fraud Prevention
For transaction security, if you receive any notice requesting a change to the payment account, receiving bank, or payment method, please verify the change with us through an existing and trusted communication channel before making payment.
Extra caution should be taken where:
If the authenticity of payment instructions cannot be confirmed, please suspend payment and contact us directly.
We will not require a buyer to redirect payment to an unfamiliar account solely on the basis of an unverified email.
14. Accuracy of Buyer Payment Information
The buyer is responsible for ensuring that remittance details, payer information, and payment references are correct.
If payment is delayed or fails because of incorrect payment information, transfer to an incorrect account, bank rejection, sanctions screening, compliance review, or similar circumstances, the payment will not be considered completed until the funds are actually received and verified.
Any tracing, return-transfer, or related bank charges will be handled according to the cause and responsibility for the issue.

The final payment method, payment schedule, due dates, currency, allocation of bank charges, and other payment conditions for each B2B order are governed by the mutually confirmed quotation, PI, purchase agreement, or other written transaction document.
